The legal team, which is providing in-house support to business in a
wide geographical area within Europe, Middle East and Africa, is searching for a new team
member.

Job Description

The following tasks are of organizational and management character. Content related assistance regarding local legal requirements and local execution of tasks will be provided by external advisors. 

  • General organization and management of corporate secretarial needs assisted by local 

  • Day to day management of the Group statutory records of all international subsidiary companies globally,

  • Ensure statutory and regulatory compliance by the Group’s subsidiaries are maintained including:
    - providing assistance with the approval process and filing of accounts globally;
    - liaising with providers and internal stakeholders for the filing of subsidiary annual returns and accounts;
    - various tasks related to and including checking of subsidiary statutory data in financial statements;
    - maintaining the subsidiary compliance tracker and electronic data base.

  • Provide assistance to entity rationalization project (mergers, liquidations etc) and liaise with external and internal stakeholders on a continuous basis.

  • Manage and execute ad hoc projects, such as name changes, director changes, change of year end, registered office and auditors etc.

  • Support other functions such as Finance (e.g. extension of financial deadline), Treasury (e.g. set up banking panel), Tax (e.g. payment of dividends) and Real Estate (e.g. approval of leases).

  • Liaise with external counsel / local advisors to ensure all corporate changes are filed locally and once complete, update the relevant systems. The key is to ensure that all company information is up-to-date, complete and communicated to internal stakeholders.

  • Assist with vendor relationships across all company secretarial providers and ensure expenditure is aligned to the function budget.

  • Maintenance of group structure chart.

  • Organize notarizations and legalizations globally.

  • Deal with Power of Attorneys and relevant board support.

  • Administrative tasks would involve processing of invoices and maintaining the company secretarial trackers.

Qualifications/Experience
  • Excellent language skills (written and verbal) in English, other languages are a plus.
  • Excellent interpersonal skills to be able to liaise with all levels of management, authorities and suppliers (e.g. external advisors).
  • Good understanding of corporate structures and legal terminology.
  • Alternatively: 
  • 3y + proven experience in an international Corporate Secretarial team or
  • Completion of a formal paralegal education program or
  • Min 3 y studies of Law (Degree in Law is welcome, but no requirement) 
  • Ability to work in a very fast-moving environment.
  • Experience of maintenance of electronic databases.
  • Work closely to deadlines, be proactive.
  • Positive, motivated, fast learner with a flexible approach.
  • Be proactive and enthusiastic and keen to help across a wide range of work.
  • Complete work efficiently, with high levels of accuracy and attention to detail.
